Terms of Service

1. ACCEPTANCE OF TERMS
By accessing or using Sonder Digital's services ("Services"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
2. AI-GENERATED CONTENT DISCLOSURE
⚠️ IMPORTANT: Client acknowledges and agrees that:
- All content, designs, and materials ("Deliverables") are created with the assistance of artificial intelligence (AI) tools, including but not limited to Claude, Gemini, and ChatGPT.
- AI-generated content may occasionally contain errors, inaccuracies, or unintended outputs.
- Sonder Digital reviews and edits AI-generated content before delivery, but does not guarantee perfection.
- Client is responsible for final review and approval of all Deliverables before publication.
3. DATA USAGE FOR AI PROCESSING
Client explicitly consents to:
- The use of Client's business information, brand guidelines, and provided materials as input for AI tools.
- Processing of Client data by third-party AI services (e.g., OpenAI, Google, Anthropic) in accordance with their respective privacy policies.
- Storage of project files and data on Firebase, Google Cloud, and other cloud services.
Note: We do NOT share client data with competitors or use it for marketing purposes. Data is used solely to deliver contracted Services.
4. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Sonder Digital is NOT liable for any indirect, incidental, consequential, or punitive damages arising from use of Services.
- Total liability for any claim shall not exceed the amount Client paid for the specific Service in question.
- We are NOT responsible for:
- Third-party AI service outages or errors
- Social media algorithm changes affecting post reach
- Google search ranking fluctuations
- Website or app hosting issues (Client's responsibility)
- App store rejections (though we'll fix issues at no cost)
- Results or ROI from marketing campaigns
5. NO GUARANTEES
While we strive for excellence, Sonder Digital makes NO GUARANTEES regarding:
- Specific search engine rankings
- Number of followers, likes, or engagement
- Sales, leads, or revenue increases
- Viral content or social media "success"
- App store approval timelines or app download numbers
Digital marketing results vary based on industry, competition, budget, and factors outside our control.
6. CLIENT RESPONSIBILITIES
Client agrees to:
- Provide accurate business information and brand materials
- Respond to approval requests within 5 business days
- Review all Deliverables before publication
- Ensure content complies with applicable laws and regulations
- Own or have rights to all materials provided to Sonder Digital
- Create and pay for Apple Developer ($99/year) and Google Play ($25 one-time) accounts for mobile apps
7. INTELLECTUAL PROPERTY
Ownership:
- Upon full payment, Client owns all Deliverables (content, designs, websites, apps).
- Sonder Digital retains the right to showcase completed work in portfolio (with Client's permission).
- Client may NOT resell or redistribute Deliverables as templates or products.
8. PAYMENT TERMS
- Recurring Services (Social Media, SEO): Billed monthly on the 1st of each month via Stripe.
- One-Time Projects (Websites, Apps): 50% deposit to start, 50% upon completion before delivery.
- Late Payments: Services paused after 7 days. $50 late fee after 14 days.
- Refunds: Payments are non-refundable once work has commenced.
9. CANCELLATION POLICY
- Client may cancel recurring services with 30 days' written notice.
- No refunds for partial months.
- Access to Client Portal remains active until end of billing period.
- For one-time projects, cancellation after work has started forfeits the deposit.
11. CONFIDENTIALITY
Both parties agree to keep confidential information private, except:
- Information required by law to disclose
- Information that becomes publicly available
- Information needed to process AI requests (anonymized when possible)
12. INDEMNIFICATION
Client agrees to indemnify and hold harmless Sonder Digital from any claims, damages, or expenses arising from:
- Client's use of Deliverables
- Client's breach of these Terms
- Client-provided materials infringing third-party rights
13. MODIFICATIONS TO TERMS
Sonder Digital reserves the right to modify these Terms at any time. Changes will be posted at this URL with updated "Last Updated" date. Continued use of Services constitutes acceptance of modified Terms.
14. GOVERNING LAW
These Terms are governed by the laws of the United States and the State of Florida. Any disputes shall be resolved in Florida courts.
15. ENTIRE AGREEMENT
These Terms, together with any Service Agreement signed by both parties, constitute the entire agreement between Client and Sonder Digital.
